The “Crossroads Business Acquisition Search Process” consists of four separate but related functions as follows:
Marketing Campaign
Crossroads will develop a “target marketing” campaign based on the buyer’s specific industry or business type interest. The campaign will cover:
The target market letter will be drafted to the requirements and approval of the buyer-client prior to launch.
Contact Response
Upon receipt of a response to the target letter of inquiry, Crossroads will explore the business to assess whether it meets with the basic criteria of the buyer-client. The review will include phone calls, emails and possible onsite visits. Confidentiality of the buyer-client will be maintained based on the clients requested status.
Buyer/Seller Interface Facilitation
Crossroads will facilitate and manage all interactions, contacts and meetings for the buyer-client with the potential business acquisition. All confidentiality agreements will be in place as appropriate.
Acquisition Process
Determine if the business meets the specific requirements and needs of the buyer-client.
Obtain and review (Tax Returns, P & L Statements and Balance Sheets) documents relevant to assessing the value of the business being considered for acquisition and supply summations and original documents to client with recommendations on value.
Discuss and assist in the preparation of Offer To Purchase documents as needed by client.
Develop information that may not be obvious to a prospective buyer, and assist you to make a decision about taking steps to buy the business. Our mutual goal is to help you purchase the target company correctly.
Act as an intermediary to assist client and negotiate the most favorable price using information developed during the search and using the experience of the broker learned from previous business transfers.
Act for the buyer and use negotiation skills to maintain a good business relationship between the seller and buyer to maintain a positive attitude of the parties after the closing.
Manage the entire acquisition process from the start of the search to the closing of the transaction including, when needed, assistance locating favorable acquisition financing.
Attend the closing and assist the buyer with any
relevant information needed to complete the transaction.
It is recommended that the buyer-client engage legal and financial support from attorneys and accountants as appropriate in assessing the merits of the transaction.
